1 Introduction and acceptance

1.1 Netwerk24, a division of Media24 Proprietary Limited (Registration Number: 1950/038385/07) ("us", "Network24") provides the information contained on and via this website and Netwerk24's mobile and tablet applications (collectively "the Service Channels") and advertise and sell this service to you subject to the terms and conditions set forth herein and referred to herein (" the Terms"), unless otherwise stated. For the purposes of these Terms, "Service" means access through the Service Channels to all online information, email correspondence, cellphone correspondence, electronic newspapers and all content contained therein, including advertisements, photos, footage, articles ("the Publications").

1.2 The Terms and Conditions specify how you can access the Service Channels and the Service, access it, refer to it or view it (collectively "use").

1.3 We may change the Terms at any time ("the Terms and Conditions") and the Terms and Conditions will be made available through the Service Channels

 1.4 Each time you use the Service, you agree to be bound by the Terms and Conditions or the Terms of Service, as the case may be.

2. We will keep your personal information private

We will protect and use any personal information we receive when you use the Service as set out in our Privacy Policy.

3. You must register to use the Service

3.1 We advertise the Service as an invitation to you to register to use the Service. To start the registration process, you must enter your name, email address, contact number, date of birth, gender and password ("Registration Information") on the appropriate Service Channel tab.

3.2 We will check the validity of your email address by sending you an automated email that contains a verification link. When you click this verification link, you will be directed to a page confirming that your email address has been verified. Once this happens, the agreement for your use of the Service begins.

3.3 When you register to use the Service, your relevant contact details will automatically be placed on our mobile message (SMS) and email correspondence list for our editorial newsletters. You may at any time remove your details from these lists in order not to receive further correspondence through these channels. This option can be exercised on Netwerk24 under your account information, or through links or similar steps indicated in our correspondence.

3.4 If you are already a subscriber to the printed version of any of the newspapers, you do not have to fill in the online registration form. You only need to type your subscriber number (BP code) for the printed edition under "I'm already a newspaper subscriber" at https://secure.netwerk24.com/Subskripsie

4 Free use, fee and payment

4.1 You are entitled to a free trial of 30 days ("free trial period"). At the end of the free trial period, you can choose to use the Service at a monthly rate ("Subscription fee"). If you do not pay the Subscription fee, you will not have further access to the Service through our Service Channels

4.2 If you pay with a credit card, the Subscription fee must be paid on the same day every month - this will indicate the start of your subscription period. The subscription fee will be automatically recovered from your account monthly.

4.3 If we do not receive your payment within seven days, we will suspend your access to the Service. If your payment has not reached us by the fourteenth day of the subscription period, we will terminate your use of the Service.

4.4 We can change the subscription fee but will always notify you before we do. If you do not accept the new subscription fee, you can terminate your subscription to the Service by notifying us in writing. Your subscription to the Service will end at the end of the calendar month in which you have given us notice.

4.5 You can pay by credit card, debit order or via your Vodacom contract. All other payment methods will be communicated to you as soon as they become available.

5 Use your Login Details to access the Service

5.1 Each time you want access to the Service, you must log in with the email address and password ("Login Details") provided to you as part of your Registration Information.

5.2 Keep your Login Information in a safe place to prevent unauthorised access to the Service. If you suspect that there was or could have been unauthorised access by using your Login Details, you must:

5.2.1 Change your login details, or

5.2.2 send an email to diens@netwerk24.com

5.3 When you instruct us to block access, we will immediately do so and let you know if we find real or suspected unauthorised access.

6 Content you provide

6.1 All information you send must be true, accurate, current and complete. You may not give a misrepresentation of your identity. All this information must be updated and accurate.

6.2 You further warrant that you are authorised to provide such content to us

6.3 Refer to Media24's Privacy Policy to see how we handle your personal information.

7 Communication from you

We can accept that all electronic communications that appear reasonably from you or from a person you let us know has been authorised to act on your behalf (collectively, "the compiler"), may come from you and that the form in which we receive it is the same as the form in which it was sent for the first time.

8 Protection of the integrity of the service channels

8.1 You may not:

8.1.1 use any robot, sniffer program, scraper, deep link or other similar automated data collection or retrieval tool, program, algorithm or methodology to access, obtain, copy, monitor the Service Channels or any of the Publications without our written permission;

8.1.2 use any engine, software, utility, agent, or other device or mechanism (including, without limitation, browsers, sniffer programs, robots, avatars, or intelligent agents) to navigate or search the Service Channels, except search engines and search agents available through the Service Channels and commonly available third-party web browsers;

8.1.3 any file containing viruses, worms, a Trojan horse or other contaminating or destructive features or otherwise interfering with the proper functioning of the Service Channels;

8.1.4 try to decipher, decompile, unravel or regress the software from which the Service Channels exist or that in any way form part thereof;

8.1.5 redistribute or otherwise use any of the Publications for your own business purposes unless you have been explicitly licensed by us in writing to do so;

8.1.6 use the Service Channels and/or the Publications in a way that will give us, our business and/or any of our affiliates a bad name;

8.1.7 for illegal purposes gain access to the Service Channels or use it in a manner that violates our rights or the rights of any other person or restrict or hinder the use or enjoyment of our computer systems.

8.1.8 place or transmit material to the Service Channel that is illegal or infringing on any third party's rights, or obscene, misleading, defamatory, illegal or contrary to copyright or other intellectual property rights, or harmful to data, software or performance of us or any other party's computer system.

8.2 We may, at any time without notice, delete any material you have transmitted through the Service Channels and/or suspend your use of any part of the Service. 

9 Print publications

9.1 When a publication or part of a publication is printed, the following notice must appear on each printed page:

"Copyright Netwerk24, a division of Media24 Proprietary Limited. All rights reserved."

9.2 You may use, download or copy publications or any part of a Publication on the Service Channels for non-commercial purposes only, but only if you -

9.2.1 retain all copyright, trademark and other intellectual property notices;

9.2.2 acknowledges us as the source of such content;

9.2.3 acknowledge writers, journalists, photographers and other persons as they are recognised on the Service Channel; and

9.2.4 state the date on which such content was obtained from the Service Channel.

10 Termination of your subscription to the Service by you or us

10.1 You can terminate your subscription to the Service at any time by contacting the Netwerk24 Call Centre by sending an email to diens@netwerk24.com or calling  087 353 1300 (local) and 27 21 285 0988 (overseas). Office hours are Monday to Friday from 08:00 to 17:00 and Saturday to Sunday from 08:00 to 11:00..

10.2 We may terminate your subscription to the Service

10.2.1 by notifying you at any time; or

10.2.2 if you breach these terms

10.3 Upon termination -

10.3.1 we immediately terminate all your rights under these Terms;

10.3.2 you must pay all fees and costs incurred until the termination date;

10.3.3 we will close your account and disable your login details;

10.3.4 we will remove all your information from our records but will keep data that we are required by law to do.

10.2. If you have subscribed to Netwerk24 via the Netwerk24 app in the App Store, your monthly payment will be charged to your iTunes Account at confirmation of purchase. The subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period. Your account will be charged for renewal within 24-hours prior to the end of the current period. You can manage your in-app subscription by turning off auto-renewal under your Account Settings after purchase. 

11 Breach of these Terms

If a party ("the Party in default") violates or fails to rectify the breach within fourteen days after receiving written notice from the other party ("Aggrieved"), the Aggrieved Party may, without prejudice of its other rights by law, terminate the Service or demand immediate specific compliance with all of the Party's obligations, regardless of whether obligations should be met or not.

12 Our intellectual property

12.1 We own or are licensed to use all intellectual property rights in all material, drawings and data (collectively "the Materials") that are made available on the Service Channels. This does not include your Personal Information that will always belong to you and will only be used by us in accordance with our Privacy Policy.

12.2 Any unauthorised reproduction, distribution, derivative creation, sale, broadcasting or other circulation or use of all or any of its materials is a violation of our rights.

12.3 We own or are licensed to use the Trademarks, names, logos and service marks (collectively "Trademarks") displayed on the Service Channel, whether registered or unregistered. You must get our written permission if you want to use a trademark.

13 External links

External links can be provided for your convenience, but they are beyond our control and we do not make any representations about their content. If you use or relate to external links, it is at your own risk. When you visit external links, you must take note of the relevant external website's terms and conditions.

14 Guarantees

14.1 Although we always try to ensure that the Service Channels are available, the Service and Service Channels are offered without warranty. Subject to the Consumer Protection Act No. 68 of 2008, read in conjunction with any of its Regulations (collectively, "the Consumer Protection Act"), we do not provide any warranties, representations or statements (whether explicit, silent or residual) in this regard.

14.2 Subject to the Consumer Protection Act,

14.2.1 We deny all implied warranties of marketability or suitability for a purpose;

14.2.2 We do not guarantee that the Service Channels and the information contained therein (the Publications included), the Service or any output resulting from your use of the Service, or any Warning, will meet your requirements; will be uninterrupted, timely, secure and error-free; comply with a certain measure of accuracy, completeness or reliability, performance or quality; be free of viruses or any other data or code that can corrupt or compromise the operation of your computer, data or network.

14.3 No information obtained from us or our authorised service providers through or from the Service will provide a guarantee by us or the relevant service provider.

14.4 You warrant that

14.4.1 you have legal access to the Service Channels and use of the Service;

14.4.2 you have all the necessary permissions and will have the terms for the duration of the Service;

14.4.3 you have the power to be bound by the Terms.

15 Our and your liability are limited

15.1 Neither party nor its directors shall be liable for damages (except because of our fraudulent conduct or gross negligence) of any nature that may be caused directly or indirectly by or attributable to

15.1.1 the Service Channels;

15.1.2 your use of or reprisal on information presented on or through the Service Channels;

15.1.3 what you do;

15.1.4 a breach of the Terms by you;

15.1.5 the fact that we act according to your instructions or instructions that are alleged to come from you;

15.1.6 Illegal access to or monitoring of information sent to us;

15.1.7 any error or omission regarding information provided to us.

15.2 You will not be liable for damages (except because of your fraudulent conduct or gross negligence) of any nature that may be caused directly or indirectly by or attributable to

15.2.1 What we do;

15.2.2 A breach of the Terms by us.

15.3 If we are found to be liable, our liability is limited to an amount equal to the fee you paid to us for the Service, for a period of one month before the cause of the matter arose.

15.4 Neither party nor you will be liable for indirect or consequential loss or damage of any kind, and no matter how it may arise.

16 You indemnify us

You indemnify us against any third-party claims, damages or costs (reasonable attorney fees included) caused or attributable to

16.1 Your actions;

16.2 your breach of these Terms. 

17 Address for Legal Notices

17.1 You agree to receive any notice or legal process regarding these Terms at the email address provided during the registration process.

17.2 You must send any notice or legal process relating to these Terms to our address as set out in clause 31. We can change our street address (to any other street address in South Africa), our phone number and fax number and we will notify you of such changes.

18 This is the only agreement between you and us

18.1 These Terms and Conditions are the only record of the agreement between you and us in connection with the Service. None of us are bound by any explicit, silent or implied representation or warranty not recorded in these Terms.

18.2 These Terms supersede all previous written and oral communications between us about the Service.

18.3 If any of us grant permission or a longer term to the other, it will not lift or limit any of our rights unless we expressly agree in writing to lift or limit the rights.

19 We can transfer our rights to you with notice

If we merge, sell or otherwise transfer our assets, and involve transferring our rights and obligations to a third party under these terms of use, we will notify you before we do so. If you do not agree with the transfer of our rights and obligations, you may terminate your use of the Service from the date of transfer.

20 Each condition is divisible

If any provision of these Terms becomes or is unenforceable in a jurisdiction, the unenforceable aspect of that provision will be dealt with in such jurisdiction as if it is not included in the Terms. The remaining terms of the Terms will remain valid.

21 Cross-border transfers of your information

Our authorised service providers can be located outside of South Africa. You agree to the cross-border transfer of your personal information so that we can deliver the Service to you. We will ensure that all such authorised service providers each have security, privacy and procedures in place to provide at least the same level of protection as our Terms.

22 Children can only use the Service with permission

If you are under 18, you can use the Service only with the consent and involvement of a parent or other legal person. We reserve the right to ask you for information necessary to prove that you are 18 years of age or older, or that you use the Service with the consent and involvement of a parent or legal person.

23 Events or circumstances beyond our control

23.1 If events or circumstances beyond our control ("force majeure") prevent any of us (the "Affected Party") from fulfilling any of our obligations, those obligations will be suspended for as long as the Affected Party are prevented from fulfilling the obligations.

23.2 If the force majeure persists for more than fourteen days, the Affected Party may terminate the Terms by notifying the other party.

23.3 Force majeure includes the following: unavoidable natural disaster, an uncontrollable accident (" casus fortuitous"), natural power, strike, theft, riot, explosion, uprising, war (whether declared or not) military operations, downtime of an external telecommunications line, power failure, international constraints, any requirement of an international authority or government or other competent local government or a court order.

25 The law applies to these conditions

25.1 In the event of a conflict between these Conditions and the Consumer Protection Act, the Consumer Protection Act will apply.

25.2 These Terms are subject to and are construed in accordance with the laws of the Republic of South Africa, without giving effect to any conflict of laws.

25.3 You submit to the exclusive jurisdiction of the courts of the Republic of South Africa regarding any dispute about the Services or the Terms.

27 Proof of date of issue and version of Terms

Unless the contrary is proved, a certificate signed by one of our Directors will be sufficient proof of

27.1 the date of issue and the conditions of the Terms and Conditions;

27.2 the date of issue and the contents of earlier versions of the Terms;

27.3 the date and content of any communications and notices sent under the Terms.
